Abstract

Land, as an asset with significant economic and social value, requires every sale-purchase transaction to comply with applicable legal provisions in order to prevent future disputes. In practice, the sale of a partial plot of land that remains registered under a single parent certificate (sertipikat induk) frequently relies on a Sale and Purchase Binding Agreement (PPJB) as a preliminary binding instrument, pending the splitting of the certificate and the issuance of a Deed of Sale and Purchase (AJB). This article aims to analyze the reasons for using PPJB in partial land transactions, its legal standing and binding force, and its potential to serve as a basis for the transfer of land rights, using a case study of inherited land in Malang City that remains under one undivided parent certificate. This research employs a qualitative method with a normative-empirical approach, combining statutory analysis with field data obtained from the Malang City Land Office through observation, interviews, and document study. The findings indicate that PPJB carries binding force between the parties under the principle of freedom of contract as stipulated in Article 1338 of the Indonesian Civil Code, yet it does not by itself transfer land rights, since a valid transfer of rights only occurs through an AJB executed by a Land Deed Official (PPAT) and registered in accordance with Article 37(1) of Government Regulation No. 24 of 1997. Consequently, buyers of partial land, particularly those without a notarial PPJB, remain in a legally vulnerable position as long as the parent certificate has not been split. The article recommends strengthening legal certainty by accelerating the certificate-splitting process and clarifying the time limits and division of obligations among the parties in a PPJB for partial land.
